    These Terms of Service govern your use of Via Helm's website, services, and client portal. By accessing our website or engaging our services, you agree to be bound by these terms. Please read them carefully. If you do not agree, do not use our services.

    1. About Via Helm

    Via Helm is a digital presence agency located in Colorado, United States. We provide web design, search engine optimization (SEO), Google Ads management, Answer Engine Optimization (AEO), and related digital marketing services to service-based businesses across the United States. These Terms of Service apply to all visitors to viahelm.com and all clients who engage Via Helm for services.

    2. Acceptance of Terms

    By accessing or using our website, contacting us through any form or channel, or entering into a service agreement with Via Helm, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. These terms apply to all users of the site and all clients of Via Helm.

    Via Helm reserves the right to update these Terms at any time. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.

    3. Services

    3.1 Service Description

    Via Helm offers the following services, subject to availability and the terms of individual service agreements:

  • Professional web design and development
  • Local search engine optimization (SEO)
  • Google Ads campaign management
  • Answer Engine Optimization (AEO)
  • Google Business Profile setup and optimization
  • Digital presence auditing and reporting
  • Client dashboard access and performance reporting
  • 3.2 Service Agreements

    All services are governed by the specific service agreement or proposal accepted by the client prior to work beginning. In the event of a conflict between these Terms and a specific service agreement, the service agreement governs with respect to the specific services described therein.

    3.3 Delivery Timelines

    Via Helm aims to deliver completed websites within 2 business days of the initial onboarding call, subject to the timely provision of required information, content, and approvals from the client. Delays caused by client inaction or late provision of materials are not the responsibility of Via Helm.

    3.4 Google Ads Budget

    For Google Ads management services, the client's advertising budget is held directly in the client's own Google Ads account and is paid directly to Google. Via Helm charges a flat management fee for campaign strategy, setup, management, and optimization. Via Helm does not charge a percentage of advertising spend and does not receive any portion of the client's Google Ads budget.

    4. Client Responsibilities

    As a client of Via Helm, you agree to:

  • Provide accurate and complete information required to deliver services
  • Respond to requests for approvals, content, or feedback in a timely manner
  • Ensure that all content, images, and materials you provide to Via Helm are owned by you or that you have the necessary rights to use them
  • Not use Via Helm's services for any unlawful purpose
  • Keep your client portal login credentials confidential and notify Via Helm immediately of any unauthorized access
  • Pay all invoices according to the payment terms in your service agreement
  • 5. Intellectual Property

    5.1 Client-Owned Content

    Upon full payment of all fees, the website and its content created specifically for the client by Via Helm become the property of the client. This includes the website design, copy written for the client, and other deliverables created as part of the agreed scope of work.

    5.2 Via Helm Intellectual Property

    Via Helm retains ownership of all proprietary tools, processes, templates, methodologies, and systems used in the delivery of services. Nothing in a service agreement transfers ownership of Via Helm's internal systems or intellectual property to a client.

    5.3 Third-Party Materials

    Some website components may incorporate third-party tools, plugins, fonts, or licensed materials. Use of these materials is subject to the terms and licenses of the respective third parties. Via Helm will inform clients of any material third-party license requirements that affect the client's use of their deliverables.

    6. Payment Terms

    Payment terms are specified in the individual service agreement or proposal. General terms include:

  • Monthly retainer fees are due at the beginning of each billing period
  • One-time setup or project fees are due as specified in the service agreement
  • Via Helm reserves the right to suspend services for accounts more than 14 days past due
  • All fees are non-refundable unless otherwise specified in writing in the service agreement
  • Clients are responsible for all applicable taxes on services received
  • 7. Cancellation and Termination

    7.1 Client Cancellation

    Clients may cancel monthly services with written notice as specified in their service agreement. Work completed prior to cancellation is billable and non-refundable. Via Helm will provide the client with all completed deliverables upon receipt of final payment.

    7.2 Termination by Via Helm

    Via Helm reserves the right to terminate services immediately and without refund if a client violates these Terms, engages in abusive or harassing behavior toward Via Helm staff, or uses Via Helm's services for unlawful purposes.

    7.3 Effect of Termination

    Upon termination, the client retains ownership of all fully paid-for deliverables. Via Helm will remove client data from its systems within 60 days of termination, subject to any legal retention requirements.

    8. Disclaimers and Limitations of Liability

    8.1 No Guarantee of Results

    Via Helm makes no guarantee of specific rankings, traffic volumes, lead generation results, or revenue outcomes from its services. Digital marketing results depend on numerous factors outside Via Helm's control, including search engine algorithm changes, market competition, and client industry conditions.

    8.2 Limitation of Liability

    To the maximum extent permitted by applicable law, Via Helm's total liability to any client for any claims arising from or related to services shall not exceed the total fees paid by the client to Via Helm in the three months preceding the claim. Via Helm is not liable for indirect, incidental, consequential, or punitive damages of any kind.

    8.3 Third-Party Services

    Via Helm's services may involve integration with third-party platforms including Google Analytics, Google Ads, Google Search Console, Google Business Profile, and others. Via Helm is not responsible for changes to, interruptions in, or termination of these third-party services.

    9. Governing Law

    These Terms of Service are governed by the laws of the State of Colorado, United States. Any disputes arising from these Terms or from Via Helm's services shall be subject to the exclusive jurisdiction of the courts located in Colorado.
